Terms of Use

These Terms of Use (Terms) govern your access to and use of the EnergiForge platform, websites (including energiforge.com and jdenergy.io), energy intelligence tools and related services (collectively, the Services) operated by JD Energy Pty Ltd (ACN 625 623 663) (JD Energy, we, us or our).

By accessing or using the Services you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

EnergiForge provides independent energy consulting for large business and developments, supported by proprietary energy intelligence software. Our experts work across markets, behind-the-meter and networks. The software unifies energy and asset data across sites to produce models, forecasts, scenarios and Board-ready strategy. A dedicated expert always owns the outcome.

2. Eligibility and Accounts

You must be at least 18 years old and have authority to bind the organisation you represent. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

3. Acceptable Use

You must not:

• use the Services for any unlawful purpose;
• upload or transmit malware, harmful code or content that infringes third-party rights;
• attempt to reverse-engineer, scrape, or interfere with the security or integrity of the platform;
• misrepresent your identity or the nature of your organisation's energy assets or data;
• use the Services in a manner that could damage JD Energy's reputation or the integrity of advice provided to other clients.

4. Client Data and Models

You retain ownership of data you provide. By providing data or using the platform you grant JD Energy a licence to host, process, analyse and use that data solely for the purpose of delivering the Services (including modelling, forecasting and strategy work). Outputs (models, forecasts, recommendations and reports) created by our experts and software for you are provided for your internal use under the terms of your engagement. JD Energy does not guarantee that any particular forecast, model or recommendation will be achieved.

5. Professional Advice and Independence

Our experts provide independent advice. We are not aligned with vendors. Any recommendations are made in good faith based on the information available at the time. You remain responsible for final decisions and for implementation of any projects.

6. Fees and Payment

Fees are as set out in the applicable engagement letter, proposal or order form. All fees are exclusive of GST unless stated otherwise. Late payments may attract interest and suspension of access to platform tools.

7. Intellectual Property

The platform, software, methodologies, branding, documentation and underlying technology are owned by JD Energy (or its licensors). You receive a limited, non-exclusive, non-transferable right to access and use the Services for their intended purpose. No ownership rights are transferred. Client-specific deliverables are handled in accordance with the engagement terms.

8. Confidentiality and Data Security

Each party must keep the other's confidential information confidential. JD Energy will implement reasonable technical and organisational measures to protect data consistent with the Privacy Policy and industry standards.

9. Disclaimers and Limitation of Liability

The Services are provided with professional care and skill. To the maximum extent permitted by law (including the Australian Consumer Law), JD Energy excludes all other warranties and limits its aggregate liability arising out of or in connection with the Services to the fees paid by you in the 12 months preceding the claim (or AUD $10,000 if no fees were paid). JD Energy is not liable for indirect, consequential, special or pure economic loss, or for decisions you make based on our advice or models.

10. Indemnity

You indemnify JD Energy against claims arising from your breach of these Terms, inaccurate or incomplete data you provide, or your use of the Services.

11. Termination

We may suspend or terminate access for breach, non-payment, or if continued use poses risk. You may terminate your engagement in accordance with the applicable engagement terms. Provisions that by their nature should survive will survive termination.

12. Changes

We may update these Terms from time to time. Continued use after notice constitutes acceptance. Material changes will be notified via the platform or email.

13. Governing Law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. The courts of South Australia have exclusive jurisdiction (subject to any mandatory consumer protections).

14. General

If any provision is unenforceable it will be severed. These Terms (together with any engagement letter or specific service terms) constitute the entire agreement. Notices may be given by email or via the platform.
